Meiji announced on Oct. 6, 2026, that it will transfer its subsidiary Nippon Kankitsu to Yoshimura Food to exit a deficit-ridden segment. The move aims to concentrate resources on dairy and confectionery while minimizing financial impact on the March 2027 fiscal year.
Meiji Holdings (Tokyo Stock Exchange Prime: 2269) has resolved to transfer 100% of the issued shares (2,311,748 shares) in Nippon Kankitsu Co. Ltd., held via its consolidated subsidiary Meiji Co., to Yoshimura Food Holdings. The transfer date is set for Nov. 1, 2026, after which Nippon Kankitsu will leave the Meiji Group and become an external entity.
This decision aligns with Yoshimura Food’s philosophy of supporting small and mid-sized enterprises while leveraging its capacity to provide cross-functional management support for Nippon Kankitsu’s frozen vegetable and retort food business based in Nemuro, Hokkaido. By delisting this unit, Meiji intends to exclude it from consolidated financial data while implying continuity of production systems and brand identity.
Although Nippon Kankitsu maintained operating profitability, its accumulated losses have kept net assets in a deficit position. Key figures for the last three fiscal years are detailed below:
| Fiscal Year | Sales (Million JPY) | Operating Profit (Million JPY) | Ordinary Income (Million JPY) | Net Income (Million JPY) | Net Assets (Million JPY) |
|---|---|---|---|---|---|
| Mar 2024 | 3,186 | 178 | 188 | 141 | -3,674 |
| Mar 2025 | 3,097 | 213 | 230 | 180 | -3,479 |
| Mar 2026 | 3,041 | 209 | 176 | 132 | -3,237 |

Sales have declined by approximately 5% over three years. While the cumulative deficit remains large, net income stayed positive, with earnings per share reaching a high of 78.28 yen in the March 2025 period. Prior to this transfer, a third-party allotment increase was planned to resolve the deficit, highlighting the necessity for capital burden relief and structural reform within the group.
By exiting this segment, Meiji avoids further deterioration of its consolidated net asset ratio.
Yoshimura Food Holdings, the acquiring entity, is a holding company managing stock in food-related businesses. Its CEO is Mototsugu Yoshimura. For the fiscal year ended February 2026, it reported 19,253 million yen in consolidated net assets and 61,028 million yen in total assets, reflecting a solid mid-tier financial foundation.
Through this acquisition, Yoshimura Food will take over Nippon Kankitsu’s technical know-how and brand strength. Aligning with its mission to activate small and mid-sized food manufacturers, the company plans to maintain and expand production facilities in Nemuro, contributing to the regional economy.
This transaction allows Meiji to concentrate management resources on dairy and confectionery while enabling Yoshimura Food to pursue growth through portfolio expansion.
Analyst take
This transaction highlights Meiji's strategic shift to shed manufacturing burdens in regions like Hokkaido and focus on higher-margin dairy and confectionery segments. While Nippon Kankitsu remained operationally profitable, its negative net assets made continued retention within the group unsustainable without significant capital injection.
The buyer, Yoshimura Food, appears to view this not merely as acquiring an unprofitable unit but as a strategic 'second opinion' move to expand its food portfolio under a holding company structure. Since the transaction is framed as part of delisting-related restructuring and is expected to have minimal impact on Meiji's consolidated results for the March 2027 fiscal year, short-term negative pressure on Meiji's stock price is likely limited.
