Rakus said on July 25 it will borrow 4bn yen from Sumitomo Mitsui Banking Corp. to fund more Plus Alpha Consulting shares plus a 10bn yen current account overdraft line. The share transfer is set for Aug. 28, 2026.
Rakus said its board approved on July 25 a 4 billion yen loan agreement with Sumitomo Mitsui Banking Corp. The funds will be used for the additional purchase of shares in Plus Alpha Consulting, as disclosed on July 14. Rakus has indicated it intends to make Plus Alpha Consulting an equity method affiliate, and this financing completes the funding for that step. The loan carries a variable interest rate, a three-year term, and principal amortization, with the purchased shares pledged as collateral. Principal amortization spreads repayment evenly over the loan period, limiting early financial risk. The 4 billion yen amount equals 40% of the concurrently arranged 10 billion yen special current account overdraft facility, keeping the acquisition-specific borrowing relatively compact.
Rakus also entered into a special current account overdraft agreement with a limit of 10 billion yen, a one-year term, bullet repayment, and no collateral or guarantee. The proceeds are designated for working capital. The company said the facility will secure flexible funding and improve financial safety as it continuously executes business expansion and growth investment. The two contracts compare as follows:
| Item | Term loan | Special current account overdraft |
|---|---|---|
| Lender | Sumitomo Mitsui Banking Corp. | Sumitomo Mitsui Banking Corp. |
| Amount / limit | 4 billion yen | 10 billion yen |
| Interest rate | Variable | Variable |
| Contract conclusion / execution date | Aug. 27, 2026 | Aug. 26, 2026 |
| Borrowing period | 3 years | 1 year |
| Repayment method | Principal amortization | Bullet repayment |
| Use of proceeds | Share acquisition | Working capital |
| Collateral / guarantee | Purchased shares | None |
The 10 billion yen line is 2.5 times the term loan and, given its unsecured bullet repayment terms, appears closer to a committed liquidity line for emergencies. It secures financial flexibility for business development after the additional acquisition.
Rakus said the impact of the borrowing and contract on earnings is minor. Because the loan rate is variable, a future rise in interest rates would increase interest payments, but the three-year, 4 billion yen scale is limited relative to the company's business size. The share transfer for Plus Alpha Consulting is scheduled for Aug. 28, 2026, subject to the status of competition authority review. If the review takes longer, the execution date could slip, and consistency with the loan execution date of Aug. 27 requires attention. Once the equity method affiliate conversion is completed, equity method investment income will be added to Rakus's consolidated results. Market attention will focus on Plus Alpha Consulting's profitability and progress in creating synergies.
Analyst take
The financing has a two-tier structure: a 4 billion yen acquisition loan secured against the target shares with a clear repayment plan, and a 10 billion yen unsecured overdraft line emphasizing flexibility as a stepping stone for growth investment. Key points are completion on Aug. 28 after competition review and the treatment of goodwill and equity method investment income. Watch for higher variable-rate costs if rates rise.
