Mitsui Chemicals said on Aug. 14 that Ultradent Products has become a specified subsidiary after an in-kind contribution of business assets raised its investment to $96 million, over 10% of capital. Ultradent's 2025 revenue was $372.1 million, up 5.8%.
On June 12, 2026, Mitsui Chemicals announced an acquisition agreement for Ultradent. On July 14, it set up MC Dental Holdings America, Inc. (MCDHA), a wholly owned unit of Mitsui Chemicals America, Inc. (MCA), to acquire Ultradent's shares and business assets. On Aug. 14, MCDHA made an in-kind contribution of business assets to Ultradent, lifting Mitsui Chemicals' investment to $96 million. Because that amount equals 10% or more of Mitsui Chemicals' capital, Ultradent became a specified subsidiary.
The restructuring appears aimed at consolidating the acquired business assets and advancing tax and legal arrangements. The change in classification triggers a disclosure obligation but has no impact on consolidated results. The completion of the acquisition was announced on Aug. 17, and this in-kind contribution is positioned as a pre-completion reorganization step.
Ultradent Products, Inc. was founded in 1978 and develops, manufactures, and sells dental products including whitening and restorative materials. It is based in South Jordan, Utah, and led by President and CEO Dirk Jeffs. The company is known as a highly profitable dental materials maker.
| Fiscal year | Revenue (USD millions) | Operating profit (USD millions) | Net profit (USD millions) |
|---|---|---|---|
| Dec. 2023 | 346.0 | 29.4 | 13.2 |
| Dec. 2024 | 351.8 | 25.6 | 20.6 |
| Dec. 2025 | 372.1 | 30.9 | 24.0 |
In fiscal 2025, revenue rose 5.8% year on year, operating profit climbed 20.7% and net profit grew 16.5%. Revenue growth was roughly in line with the global dental materials market's annual growth of around 5%, while the operating margin improved to 8.3% from 7.3%. Consolidated net assets stood at $220.5 million, with an equity ratio of about 57.1%.
Mitsui Chemicals said the impact of Ultradent becoming a specified subsidiary on its own results is minor. The acquisition procedures were completed on Aug. 17, 2026, and Ultradent is already included in consolidation, so the classification change itself does not lift sales or profit. However, amortization of goodwill and increased depreciation from purchase price allocation (PPA) could weigh on earnings over the medium term.
Ultradent's revenue for fiscal 2025 rose 5.8% to $372.1 million, with an operating margin of 8.3%, an improvement. Mitsui Chemicals positions its healthcare business as a growth area, and expanding dental materials operations in North America is a symbolic step in its portfolio transformation. The focus will be on the earnings contribution from North America. Investors should watch how currency swings and U.S. dental demand affect consolidated results.
Analyst take
The designation as a specified subsidiary is largely a disclosure formality following the acquisition; Ultradent's operations are already consolidated. The $96 million investment exceeds 10% of Mitsui Chemicals' capital, but Ultradent's net assets of $220.5 million and equity ratio of 57.1% indicate a sound balance sheet. With an operating margin of 8.3%, the focus will be on synergy realization relative to Mitsui Chemicals' own profitability. Investors should watch the balance between goodwill impairment risk and earnings contribution.
