IT integrator Future announced a major parent company change on September 17 following a successful tender offer. Voting rights will surge to 82.78%, making delisting highly likely.
Future announced on September 11 that its public bid, launched on July 30, has succeeded. The total shares offered at 2451 yen per share exceeded the minimum target of 23 million 376 thousand 700 shares, reaching 43 million 265 thousand 702 shares. Keys West Network acquired additional shares from Chairman Kimura and held existing stakes, bringing its total holdings to 73 million 452 thousand 702 shares. Consequently, Keys West's voting rights ratio jumps from 34.02% pre-offer to 82.78% post-offer, establishing it as the new parent company. While Kimura's stake drops from 12.53% to 6.26%, the remaining shares will be transferred via trust to the bidder, effectively consolidating management control.
The new parent companies are Keys West Network and its sole shareholder, Singapore-based DANA POINT CORPORATION PTE. LTD. (DANA). Keys West, established in 2000 with 55 million yen capital, focuses on real estate leasing. DANA was founded in 2013 for asset management with approximately 184 million yen worth of Singapore dollars in capital as of September 2025. Crucially, both entities qualify as related parties because they own all of Kimura's voting rights. This confirms his sustained significant influence over Future's decision-making and operations. Post-delisting, transactions between these related parties will face strict audit scrutiny regarding transparency.
Future currently trades on the Tokyo Stock Exchange Prime Market but plans to execute a squeeze-out procedure to acquire all remaining shares. This process aims to list only Keys West and its affiliates as shareholders, triggering delisting criteria effective September 17. Long-term investors will consequently lose market liquidity with limited exit opportunities. Kimura intends to trust unbid shares while acquiring all others, increasing strategic freedom but raising questions about governance and returns for existing shareholders.

Analyst take
This mark represents a critical pivot towards complete operational integration under Chairman Kimura. Freed from the pressure of maintaining listings and hitting quarterly targets, the company faces new challenges in building governance structures and securing external funding credibility. Investors should monitor stock volatility leading up to the settlement date but fundamentally view this as the end of Future's public chapter.
