SMFG will establish a mid-tier holding company for SMB Nikko Securities, effective Oct 1. The move integrates wholesale business operations and completes group restructuring efforts.
SMFG announced the signing of a stock swap agreement with SMBC Nikko Securities Holdings Inc., a Preparation Company (the preparation company) and SMB Nikko Securities on Sept 30, 2026. The agreement takes effect on Oct 1, 2026. This reorganization completes the unified operation of Japanese stock business in the wholesale sector through SMBC Jeffries Securities.
Under the scheme, the preparation company becomes the parent via a stock swap, making SMB Nikko Securities its wholly-owned subsidiary. Specifically, one ordinary share of the preparation company will be issued for every 200,002 ordinary shares of SMB Nikko Securities. Consequently, SMB Nikko Securities becomes a grandchild company of SMFG. Upon effectiveness, the preparation company's name changes to "SMBC Nikko Securities Holdings Inc.," functioning as an official mid-tier holding company. Shareholder meeting approvals occur on Sept 30 for both entities.
SMB Nikko Securities, the target of the stock swap, shows steady expansion over the past three years. Founded in June 2009 with 135 billion yen in capital, its total assets and operating revenues have continuously increased.
| F.Y. (Million Yen) | Mar 2024 | Mar 2025 | Mar 2026 |
|---|---|---|---|
| Total Net Assets | 1,164,252 | 1,187,198 | 1,225,779 |
| Operating Revenue | 403,315 | 495,382 | 551,827 |
| Ordinary Income | 36,158 | 52,076 | 77,565 |
| Net Income | 26,832 | 76,713 | 88,933 |
For the Mar 2026 term, ordinary income is expected to rise roughly 48% year-over-year to 77.565 billion yen, while net profit grows about 16% to 88.933 billion yen. While some disclosures are omitted due to the internal reorganization nature, the strengthened revenue base is clear. Synergies under the new structure are highly anticipated.
The preparation company, which will become the parent via stock swap, was established in April 2005. It has 10 million yen in capital and 400 million yen in net assets. Its headquarters are located at 1-5-1 Marunouchi, Chiyoda-ku, Tokyo. Currently, it conducts preparatory work for the mid-tier holding company setup.
Upon completion, it changes its name to "SMBC Nikko Securities Holdings Inc." Capital increases to 100 million yen, and Shuji Yoshioka, currently CEO of SMB Nikko Securities, becomes president and CEO. This transition is part of SMFG's shift to a mid-tier holding company structure. The new specialized holding company enhances governance for SMB Nikko Securities' wholesale business, aiming for operational efficiency and faster decision-making.
