DMG MORI announced the conclusion of a decade-long lawsuit in Germany regarding its subsidiary's dominance agreement. This resolves legal uncertainties and fixes share buyout prices at 37.35 euros per share.
The lawsuit concerning the Dominance Agreement between DMG MORI Europe Holding GmbH and DMG MORI AG, effective August 24, 2016, concluded on October 1, 2026. The Dusseldorf Higher Regional Court dismissed appeals regarding the share buyout price and annual compensation, finalizing the terms. The share buyout request price was set at 37.35 euros per share, unchanged from DMG MORI's claim. Annual compensation for shareholders choosing to remain increases to 1.28 euros from the previous 1.17 euros. Buyout deadlines will expire two months after this ruling's publication.
DMG MORI stated there is no significant impact on consolidated results because the settlement itself does not generate new liabilities. The company had already accrued the present value of future payments as financial liabilities in prior periods. The Dominance Agreement allows the holding company to direct the AG board and transfer profits or losses. This resolution clears long-standing legal ambiguity, enhancing governance and transparency for the group.
Analyst take
DMG MORI has resolved a decade of legal uncertainty regarding its German subsidiary, stabilizing the business environment. The key takeaway is that financial impact is limited since liabilities were previously accrued. Clear governance structures in Europe should positively influence long-term investment assessments.
