VIC offers ¥2,880 per share, with Dentsu Soken urging shareholders to tender
Itochu-backed VIC is launching a tender offer to take Dentsu Soken private. VIC is a limited liability company owned 80% by Itochu and 20% by its subsidiary IFP. The offer covers all Dentsu Soken shares except those held by Dentsu Group, with no cap on the number of shares it will buy. If tenders fall short of the minimum, VIC will not buy any of the shares tendered.
The offer price compared with past share prices is as follows.
| Comparison | Share price or offer price (yen) | Premium |
|---|---|---|
| Closing price on July 1, 2026 | 2,134 | 34.96% |
| Closing price on Aug. 27, 2026 | 2,739 | 5.15% |
| Tender offer price | 2,880 | - |
- Possible extension: If Dentsu Soken requests an extension, the offer period will be 30 business days and will run through Dec. 15.
- Minimum tender threshold: If the minimum is met, Dentsu Group and VIC together will hold about two-thirds or more of voting rights.
The offer price represents a 34.96% premium to the share price before reports of a potential privatization. Dentsu Soken's board has approved the offer and recommends that shareholders tender their shares.
Dentsu Group and VIC to become the only shareholders after the offer
The tender offer aims to leave Dentsu Group and VIC as Dentsu Soken's only shareholders and delist the company. Dentsu Group will not tender its shares and will remain a shareholder after the offer. Following the transaction, Dentsu Group is expected to hold 61.78% and VIC 38.22%.
- Steps after the offer: If VIC does not acquire all shares through the tender offer, it plans to squeeze out minority shareholders through a share consolidation or other procedures.
- Payment to remaining shareholders: Cash distributed after the share consolidation will generally be calculated to equal the tender offer price multiplied by the number of shares held.
- Proposed board composition: The parties have agreed on a five-member board, with Dentsu Group nominating three directors and VIC nominating two. Specific candidates have not been decided.
Going private is intended to make it easier for Dentsu Group, Dentsu Soken and Itochu to make decisions with a medium- to long-term perspective. Once the company is delisted, its shares will no longer trade on the market, so shareholders who do not tender should also check the terms and timing of subsequent procedures, including any share consolidation.
Complementary IT infrastructure and customer networks to support investment and M&A
Itochu's side plans to combine Dentsu Soken's business consulting and application development capabilities with the group's IT infrastructure, cloud and maintenance services, centered on Itochu Techno-Solutions. The companies aim to complement each other's strengths, broaden their service offerings and win larger projects.
- Cross-selling and complementary capabilities: The companies aim to use their customer bases and business expertise to refer projects to each other and provide integrated services spanning applications, infrastructure development and operations.
- IT demand within the group: The deal is expected to expand opportunities for Dentsu Soken to develop systems and implement AI for companies in the Itochu group.
- M&A and overseas expansion: Itochu's M&A experience and overseas network are expected to support growth in promising businesses and talent, as well as the handling of global projects.
Dentsu Soken says it needs to secure specialized talent and strengthen its service delivery capabilities to keep pace with advances in technologies such as AI and cloud computing. Going private could enable more nimble investment and collaboration, but the disclosure does not quantify the earnings contribution from synergies. Whether the partnership produces actual project wins and improved profitability will be a key test.
Independent committee reviewed price and process, with employment terms set to remain unchanged
Dentsu Soken formed a special committee comprising independent outside directors and others to review the price and fairness of the transaction. The committee said it compared proposals from multiple potential buyers and selected Itochu after determining that its offer price was higher.
- Price assessment: A third-party valuation firm retained by the special committee put Dentsu Soken's share value under the discounted cash flow method at ¥2,347 to ¥3,289 per share. The offer price falls within that range.
- Fairness measures: The special committee obtained a fairness opinion stating that the offer price was financially fair to general shareholders. However, Dentsu Group will remain a shareholder, and the deal does not include a so-called majority-of-minority condition.
- Employment and treatment: The bidder does not generally expect the transaction to result in adverse changes to employment or working conditions.
The independent committee's review and comparison of bidders provide a basis for assessing conflicts of interest and the reasonableness of the price. The post-delisting management structure and how the companies will work together remain under discussion, so employees will be watching not only their employment terms but also potential changes to the business and staffing.

For investors, the key question is not only the size of the premium but whether the promised collaboration after delisting can generate concrete orders and profit growth. Assessing the share-price premium against the potential for growth will be important. Itochu's side says it does not expect the deal to bring adverse changes to employment conditions, but a revised board structure and closer group ties are planned, making changes to project execution and organizational management worth watching.
