Toyota Tsusho: Adds ¥1.815bn to Bangladesh unit's capital
Toyota Tsusho will invest ¥1.815 billion in TBL, lifting capital to ¥7.77 billion and making it a specified subsidiary. The Oct. 30 move targets Bangladesh mobility growth, with only a minor fiscal 2027 impact.

Key facts
- Investment
- ¥1.815 billion
- Post-increase capital
- ¥7.770 billion
- Ownership
- Toyota Tsusho 1%, TTAP 99%
- Earnings impact
- Minor in the fiscal year ending March 2027
Capital increase makes TBL a specified subsidiary
Toyota Tsusho will make an additional investment in consolidated subsidiary TBL, making it a specified subsidiary. The capital increase will bring TBL's capital to at least one-tenth of Toyota Tsusho's capital.
- Reason for investment: To further expand the mobility business in Bangladesh.
- Investment structure: Toyota Tsusho and its consolidated subsidiary Toyota Tsusho Asia Pacific Pte. Ltd. (TTAP) will make additional investments in TBL.
The key point is that TBL becomes a specified subsidiary because its capital is increasing, not because its ownership ratio is changing.
Vehicle sales and after-sales services in Bangladesh
Based in Dhaka, TBL imports Toyota vehicles and replacement parts, and handles wholesale and retail sales as well as after-sales services. Toyota Tsusho's group already operates TBL as a consolidated subsidiary.
- Group ties: Toyota Tsusho and TTAP have seconded a total of four officers and employees to TBL.
- Business dealings: The companies sell and purchase products.
Toyota Tsusho expects the change to have only a minor effect on its results and financial position for the fiscal year ending March 2027. Rather than signaling a near-term earnings shift, the move strengthens TBL's capital to support expansion in Bangladesh.

This change does not involve a shift in ownership ratios or the acquisition of new control. It reflects a capital increase that takes TBL above the threshold for specified subsidiaries, while Toyota Tsusho says the near-term impact on results will be minor. Investors will watch whether the stronger capital base translates into higher vehicle sales and service revenue in Bangladesh. The key question is whether the capital boost can drive business growth.
