- Purchase method: Market purchases on the Tokyo Stock Exchange.
- Stated objectives: Strengthen shareholder returns, improve capital efficiency and enable flexible capital management.
The resolution sets a maximum for the buyback. The actual number of shares and amount purchased will depend on market execution. Sanwa said the move is part of its capital policy, with a focus on shareholder returns and capital efficiency.
Sanwa to cancel 3 million treasury shares
The board also approved the cancellation of 3 million of the company’s treasury shares. Total issued shares, including treasury stock, are expected to be 216 million after the cancellation.
- Shares to be canceled: Sanwa common shares.
- Share count at end of September: 207,211,110 shares issued, excluding treasury stock, and 11,789,890 treasury shares.
A buyback uses company funds to acquire shares, while a cancellation removes treasury shares from the number of issued shares. Sanwa’s disclosure approved both actions but did not say the shares purchased in the buyback would be used for the cancellation, so they should be viewed as separate resolutions.

The buyback authorization is a ceiling, and the actual scale of purchases will depend on market execution. Investors should monitor purchases made during the period, not just the maximum amount. Canceling treasury shares reduces the number of issued shares, but does not further reduce the share count excluding treasury shares at the time of cancellation. Assessing the buyback execution separately from the role of the cancellation is important when evaluating Sanwa’s shareholder-return measures.
